IsoEnergy and DISA Complete Transaction to Launch U.S. Uranium Recovery and Production Company DISA Uranium

On August 19, IsoEnergy Ltd. and DISA Technologies, Inc. announced the completion of their previously disclosed transaction to form DISA Uranium Corporation. The new company is positioned as a technology-driven U.S. uranium enterprise, aiming to strengthen domestic uranium supply and serve the growing demand for domestically sourced nuclear fuel.

Under the definitive agreement, IsoEnergy transferred its portfolio of permitted and previously producing conventional uranium assets in Utah, U.S., to DISA Uranium in exchange for 1,677,350 common shares of DISA Uranium. The asset portfolio includes the Tony M Mine, Daneros Mine, Rim Mine, Sage Plain Project, and Flatiron Project. Upon completion of the transaction, DISA Uranium will integrate IsoEnergy's Utah uranium assets, DISA's proprietary High-Performance Acid Strip (HPSA™) technology, and related remediation and recovery operations.

On the same day, DISA Uranium also completed its previously announced US$105 million private placement. Participants included Tembo Capital, BHP Ventures, Galvanize Climate Solutions, Valor Equity Partners, Evok Innovations, Halliburton Labs, and Veriten. IsoEnergy invested US$33 million in the financing round. Following the completion of the transaction and financing, IsoEnergy holds approximately 33% of DISA Uranium on a fully diluted basis, making it the largest shareholder.

IsoEnergy's Chief Executive Officer and Director, Philip Williams, stated that the completion of the transaction unlocks the value of the company's Utah asset portfolio and enables IsoEnergy to participate in the growth of a U.S. uranium platform. DISA Uranium's Chief Executive Officer, Greyson Buckingham, stated that the company will advance its strategy by leveraging its uranium assets, technology, and financial support.

Following the completion of the transaction, the DISA Uranium board of directors consists of seven members, including IsoEnergy Board Chair Richard Patricio, IsoEnergy Chief Executive Officer and Director Phillip Williams, Tembo Capital Partner George Pyper, and current DISA board members Greyson Buckingham, Scott Saxberg, Marty Reed, and former U.S. Nuclear Regulatory Commission member Jeffrey Merrifield.

As planned, DISA Uranium will advance a multi-pronged strategy focused on recovering uranium from abandoned mine waste using High-Performance Acid Strip (HPSA) technology, resuming conventional uranium production in the U.S., and developing domestic processing capabilities. Among these efforts, the Tony M Mine is expected to be a near-term priority for advancing the Utah project portfolio, alongside the company's remediation activities and broader development strategy.

DISA Uranium is headquartered in Casper, Wyoming, U.S., and its operations include recovering uranium and vanadium from abandoned uranium mine waste and remediating legacy mine sites in the American West. The company states that it holds relevant licenses from the U.S. Nuclear Regulatory Commission to process and recover uranium from abandoned mine waste at multiple sites. IsoEnergy is a diversified uranium company with mineral resources at various stages of development across uranium-producing regions including Canada, the United States, and Australia.
